Contract law update 

Richard Stephens, Chair of the Legal Affairs Committee, is back after the pandemic to repeat his Update on Contract Law in a face to face session. The session is attended by in-house lawyers, commercial people as well as private practitioners. Not a dull law lecture, the session is intended to be highly practical and to provide delegates with the information they need to stay up to date in this most crucial of areas.

As before, Richard will look at the significant cases over the last twelve months and try to tease out the practical implications for those of use involved in any way with contracts - whether drafting, negotiating or disputing them. The precise content will of course depend on the time available and the contents will be decided nearer the time but Richard hopes to look at the following areas at least:

  • 'contract or not' - the familiar rash of cases where businesses stake all or nothing on whether there is a contract or not by starting work without a signed contract or just based on an oral agreement
  • Unjust enrichment - how much do you get paid when there is no contract and you have done work for the other party?
  • Variations and change control - just when does a variation actually create a new contract even if the parties don't want that result?
  • Liabilities - what exactly is (not) a loss of profits and why do commercial contracts nearly always seek to exclude it? What exactly is the scope of a 'sole and exclusive remedy' clause - does it really mean that? Do we still have to worry about the Unfair Contract Terms Act 1977 or it is now a dead letter?
  • What is a material breach? When is a material breach remediable? What is a repudiatory breach? What do you have to do when notice to terminate is served on you?
  • Notices - just how difficult can it be to serve a notice correctly? Given the number of cases in this area this year alone, it must be really difficult! Learn what to do and what not to do when serving a formal communication

This event is a hybrid session and registrants will be asked to specify if they are attending in person or virtually. We have a limited number of places available to join in person and we will accept a maximum of one delegate per company.
