The recent case of CIS General Insurance Limited v IBM United Kingdom Limited relates to a failed large scale digital transformation project. As well as including some important guidance on termination and repudiatory breach and the effectiveness of limitation of liability clauses, the case highlights important issues on how businesses undergoing a digital transformation project manage projects at Board level and via project governance.
